LIMODIA PARTNER NETWORK / JOB SHARE TERMS (Effective Date: March 6, 2026)

These Partner Network / Job Share Terms ("Partner Terms") govern participation in Limodia partner network, affiliate referral workflows, overflow-trip posting tools, coverage-sharing tools, and job pool features (collectively, the "Partner Network").

1. Purpose and Role. Limodia provides software workflow infrastructure only. Limodia does not itself provide transportation services and is not a carrier, dispatch employer, or guarantor of trip fulfillment.

2. Participating Roles. Originating Company: owns customer relationship/primary booking. Fulfilling Company: accepts and performs trip. Unless separately agreed, Originating Company remains customer-facing and settlement responsibility follows company agreement.

3. Eligibility. Each Partner Company represents it is properly formed, licensed, insured, legally authorized, and maintains accurate profile, compliance, and contact information.

4. No Verification Guarantee. Platform-displayed profile, insurance, permit, and document fields are provided for workflow convenience. Limodia does not guarantee completeness, current validity, or sufficiency of partner-provided information.

5. Trip Posting and Acceptance. Posting, offers, and acceptance follow platform workflow rules. A trip is not binding until acceptance is confirmed through supported process. Each partner is responsible for complete and accurate trip details.

6. Operational Responsibility. Fulfilling Company is solely responsible for lawful and proper trip execution, driver conduct, vehicle condition, insurance compliance, and service delivery. Originating Company is responsible for customer-facing commitments and booking accuracy.

7. Communications and Data Use Limits. Partner data and customer data obtained through Partner Network may be used only for legitimate trip operations, support, billing, and compliance. Unauthorized marketing or off-platform solicitation using obtained customer contacts is prohibited unless explicitly authorized.

8. Pricing, Fees, and Settlement. Inter-company pricing and settlements are governed by partner agreements and platform-supported terms. Unless expressly agreed, Limodia is not responsible for collecting/remitting inter-company balances. Each partner is responsible for taxes and accounting treatment.

9. Chargebacks and Refunds. Customer-facing disputes, refunds, and chargebacks are generally handled by Originating Company unless otherwise agreed. Fulfilling Company must reasonably cooperate in dispute evidence and response.

10. Insurance, Licensing, and Legal Compliance. Each partner must maintain required authorities and insurance and must not accept or perform trips in violation of law, policy, permit terms, or local rules.

11. Safety and Incident Reporting. Material safety, legal, or operational incidents must be promptly reported to affected parties and to Limodia where platform integrity or safety may be impacted. Limodia may suspend access during risk investigations.

12. Confidentiality and Data Protection. Non-public trip, pricing, profile, and customer information exchanged through Partner Network is confidential and must be protected with reasonable safeguards.

13. Non-Circumvention and Fair Dealing. Partners may not misuse network-derived data to unfairly divert business or exploit confidential pricing/service information outside legitimate network operations.

14. Reviews and Reliability Signals. Limodia may provide ratings/activity indicators for workflow support but does not guarantee completeness or accuracy and may change/remove indicators.

15. Suspension and Removal. Limodia may suspend/remove partner access for compliance failures, expired credentials, fraud, abuse, repeated non-performance, platform circumvention, or material breach of terms.

16. Disclaimers. Partner Network is provided "as is" and "as available". Limodia does not guarantee service quality, partner performance, legal status, insurance adequacy, payment outcomes, or fulfillment success of posted opportunities.

17. Limitation of Liability. To maximum extent permitted by law, Limodia is not liable for indirect, incidental, consequential, exemplary, or punitive damages. Aggregate liability related to Partner Network is limited to amounts paid by claiming partner for affected features in prior 12 months.

18. Indemnification. Each Partner Company indemnifies Limodia against third-party claims arising from its operations, personnel, service failures, compliance gaps, data misuse, or legal violations.

19. Relationship of Parties. These terms do not create partnership, agency, employment, fiduciary, franchise, or joint venture relationship between Limodia and partners unless expressly agreed in writing.

20. Governing Terms. These Partner Terms are incorporated into Limodia Terms of Service and control in case of conflict for Partner Network-specific matters.
