LIMODIA TERMS OF SERVICE (Effective Date: August 3, 2026)

These Limodia Terms of Service (Terms) form a binding agreement between Limodia LLC, a New Jersey limited liability company in the United States (Limodia, we, us, or our), and each person or entity that uses the Services (you or your). The Services are used by two kinds of users, and different parts of these Terms apply to each: (a) Riders (also called Marketplace Customers) who use the Limodia marketplace to discover, compare, and book transportation from independent operators; and (b) Operators (also called Business Customers) that use Limodia software, workflows, and marketplace tools to run their transportation business, including any entity accepting these Terms or executing an Order Form. Sections addressed to Customer, subscriptions, billing, Order Forms, Authorized Users, and APIs apply to Operators; the Marketplace Customer (Rider) Terms and the Free Cancellation, Cancellations, and Refunds section apply to Riders; and general sections apply to both. By accessing or using the Services, creating an account, executing an Order Form, or booking through the marketplace, you agree to be bound by these Terms.

1. Scope and Order of Precedence. 1.1 These Terms govern access to and use of Limodia websites, software applications, APIs, mobile applications, communications tools, reporting tools, booking and dispatch workflows, payment-related features, partner network tools, and related services (collectively, Services). 1.2 If Customer and Limodia execute an Order Form, Master Services Agreement, or other signed agreement, that signed agreement controls to the extent of direct conflict. 1.3 Related documents may apply where relevant: Privacy Policy, Data Processing Addendum, Cookie/Tracking Notice, acceptable use rules, support policies, implementation scopes, service descriptions, feature-specific terms, and Partner Network / Job Share Terms.

2. Definitions. Account means Customer account for Services access. Authorized User means employee, contractor, or permitted representative authorized by Customer. Customer means an Operator; unless the context clearly refers to a Rider, Customer and its related terms (Account, Authorized User, subscription, billing) refer to Operators. Operator (or Business Customer) means a transportation business that uses Limodia software, workflows, and marketplace tools to list, sell, and fulfill transportation services. Rider (or Marketplace Customer) means a person who uses the Limodia marketplace to discover, compare, or book transportation from an Operator. Customer Data means records and information submitted to or made available through Services by or on behalf of Customer or its Authorized Users. Documentation means user docs, product descriptions, support materials, and technical instructions made available by Limodia. Order Form means ordering document, subscription checkout, statement of work, quote, or similar accepted commercial document. Third-Party Services means products or integrations not owned by Limodia.

3. Nature of Services; Platform Role. Limodia is a software provider only. Unless expressly stated in a separate signed agreement, Limodia is not a carrier, transportation provider, chauffeur company, employer of drivers, broker, insurer, bank, money transmitter, tax advisor, or legal advisor. Limodia does not itself provide rides, dispatch labor, fleet labor, or transportation fulfillment services. Customer remains solely responsible for transportation services, labor classification, and operations. Limodia does not guarantee bookings, trips, leads, partner opportunities, or revenue.

4. Eligibility, Authority, and Account Registration. Customer represents it is validly existing and authorized to enter these Terms. The accepting individual represents authority to bind Customer. Customer must provide accurate and current registration, billing, and contact information and keep it updated. Customer is responsible for all activity under its Account, including by Authorized Users. Customer must protect credentials and notify Limodia promptly of unauthorized access, compromise, or abuse.

5. Access Rights and Subscription Grant. Subject to Terms and fee payment, Limodia grants a limited, non-exclusive, non-transferable, non-sublicensable right during subscription term to use Services for Customer internal business operations. Authorized Users may use Services only within purchased limits and plan scope. Customer may not resell, white-label, timeshare, or commercially exploit Services for third parties unless expressly authorized in writing. Trial, beta, preview, sandbox, and experimental features may be changed or discontinued at any time and are provided as is.

6. Fees, Billing, Taxes, and Renewals. Customer must pay all fees in Order Form or checkout. Unless stated otherwise, subscriptions renew automatically and Customer authorizes renewal charging via payment method on file. Fees are generally non-cancelable and non-refundable unless law or Terms require otherwise. Mid-term upgrades may be prorated immediately. Downgrades generally apply at next renewal unless stated otherwise. Limodia may suspend for overdue undisputed amounts after reasonable notice, subject to fraud or risk exceptions. Customer is responsible for applicable taxes except taxes based on Limodia net income and must keep billing data current.

7. Payment Features and Processors. Some features relate to invoicing, payment collection, card processing, payout orchestration, refunds, settlements, and status displays. Unless expressly agreed in a separate signed commercial agreement, Limodia is not merchant of record, acquiring bank, money transmitter, or payment processor. Payment processing is provided by third-party providers and subject to those provider terms and controls. Customer is solely responsible for charged amounts, disclosures, taxes, refund policies, no-show rules, and compliance obligations. Chargebacks, reserves, delays, and restrictions may occur and are not guaranteed by Limodia.

8. Customer Data and Customer Responsibilities. As between parties, Customer retains rights in Customer Data, subject to rights granted to Limodia to host, process, transmit, display, modify, and use data as necessary to provide, secure, support, improve, and enforce Services and Terms. Customer warrants legal rights, notices, consents, and lawful basis to process and instruct processing of Customer Data. Customer is responsible for data accuracy, legality, reliability, required disclosures and consents, retention decisions, and claims arising from its data practices. Unlawful or abusive content is prohibited.

9. Customer Compliance Obligations. Customer is solely responsible for compliance with applicable laws and rules, including transportation licensing and permits, insurance, labor and contractor rules, communications laws, fare and consumer disclosures, tax and accounting obligations, and privacy requirements. Limodia may request compliance documentation such as licenses, insurance certificates, and tax forms. Failure to provide reasonably requested documentation may result in suspension.

10. Communications and Messaging Compliance. Customer is solely responsible for all communications sent using Services or integrated third-party messaging tools. Customer must ensure communications are lawful, include required disclosures, respect opt-out requests, and are supported by required consent. Limodia may monitor metadata, throttle traffic, and suspend messaging if spam, phishing, fraud, unlawful communications, reputation risk, or carrier/processor complaints are suspected. Customer indemnifies Limodia for claims and penalties arising from Customer communications and consent practices.

10A. SMS Messaging Terms and Optional Opt-In. Limodia may offer optional transactional SMS notifications to Customers and Authorized Users who separately choose to enable SMS notifications in their Limodia account. SMS notifications are optional and are not required to create an account, purchase a subscription, use Limodia services, or receive service from Limodia. Customers and Authorized Users can opt in by logging into the Limodia web application and enabling SMS notifications from the Notifications Preferences page. By enabling SMS notifications, you agree to receive transactional SMS messages from Limodia related to your account, new reservations, booking updates, payment-related updates, and customer support. Message and data rates may apply. Message frequency varies depending on account activity, reservation activity, and notification settings. You may opt out at any time by replying STOP to any SMS message. You may reply HELP for help. SMS notifications can also be disabled at any time from the Notifications Preferences page inside your Limodia account. Limodia does not send marketing or promotional SMS messages through this notification setting. Limodia does not sell, share, or transfer SMS opt-in consent data with third parties for marketing purposes.

11. Acceptable Use Restrictions. Customer must not: use Services unlawfully; scrape, reverse engineer, or benchmark prohibited portions; probe or test vulnerabilities without authorization; upload malicious code; interfere with integrity or security; engage in unlawful surveillance or discrimination; process unsupported regulated data without written approval; misuse partner/customer data for unauthorized solicitation; circumvent plan or technical restrictions; or remove proprietary notices and controls except as permitted.

12. Third-Party Services and Integrations. Use of Third-Party Services is governed by third-party terms. Limodia is not responsible for third-party availability, security, data practices, pricing, compliance, or changes. Customer authorizes data exchange with Third-Party Services as directed by Customer or Authorized Users or as reasonably necessary for requested functionality. Limodia may disable integrations where needed for security, legal, operational, or risk management reasons.

12A. Marketplace Services and AI Assistant Access. Limodia provides a directory and marketplace that helps users discover and compare independent transportation operators, including through AI assistants such as ChatGPT and Claude. Limodia is not a carrier or transportation provider and does not perform, control, or guarantee any transportation service. Each operator independently provides and is responsible for its services, vehicles, drivers, licenses, insurance, availability, safety, booking terms, cancellations, and customer support. Marketplace prices and quotes are informational estimates based on available search and operator data; the final price, availability, fees, and binding booking terms are determined and confirmed on the operator's booking page. A VERIFIED label means the operator meets Limodia's then-current marketplace criteria; it is not a guarantee of service quality or future compliance. An UNVERIFIED listing is directory information only, has not been vetted or verified by Limodia, and may include only the operator's public website and basic directory details. Users who visit or engage an unverified operator do so at their own discretion and risk. Selecting Book now or another operator link may transmit the user's trip details in the link to prefill the independent operator's booking page, where the operator's terms and privacy notice apply. AI assistants and their platforms are independent third-party services. Limodia is not responsible for their availability, interpretation of a request, presentation or omission of marketplace results, or statements they generate. To the maximum extent permitted by law, Limodia is not liable for decisions, bookings, losses, disputes, service failures, or harm arising from reliance on AI-generated content or from services offered by any listed operator.

12B. Marketplace Customer (Rider) Terms. This section applies to Riders who use the Limodia marketplace. Limodia provides software and a directory that help Riders discover, compare, and reach independent Operators; Limodia is not a carrier and does not provide, control, or guarantee any transportation service. The transportation contract for a trip is solely between the Rider and the Operator, and the Operator alone is responsible for its vehicles, drivers, licenses, insurance, availability, safety, pricing, and customer support. Marketplace prices and quotes are informational estimates based on available search and Operator data; the final price, availability, fees, and binding booking terms are determined and confirmed on the Operator's booking page, where the Operator's own terms and privacy notice apply. A VERIFIED label means the Operator meets Limodia's then-current marketplace criteria and is not a guarantee of service quality or future compliance; an UNVERIFIED listing is directory information only that Limodia has not vetted, and Riders who engage an unverified Operator do so at their own discretion and risk. Payment for a trip is made to or through the Operator and its payment processor, not to Limodia, unless expressly stated otherwise. Riders are responsible for providing accurate booking details and for their own conduct during a trip. To the maximum extent permitted by law, Limodia is not liable for the acts, omissions, service failures, delays, cancellations, or disputes of any Operator, and any dispute about a trip is resolved between the Rider and the Operator under the Operator's terms and applicable law.

12C. Free Cancellation, Cancellations, and Refunds. Because Limodia is software and a marketplace and not a carrier, each Operator independently sets and is responsible for its own cancellation and refund terms, which are confirmed on the Operator's booking page. Many Operators offer a free cancellation window, a period before pickup during which a confirmed booking can be canceled at no charge and any prepaid amount is eligible for a full refund; the exact window is set by the Operator and shown on the booking or confirmation page for the trip. To cancel, use the cancellation link in the booking confirmation, contact the Operator directly using the details in the confirmation, or contact Limodia support and we will help reach the Operator; a cancellation takes effect when it is received and confirmed, so Riders should cancel as early as possible. When a cancellation qualifies for a refund, the Operator processes it to the original payment method through its own payment processor, and refund timing depends on the Operator and processor; Limodia does not hold Rider funds and does not itself issue refunds unless expressly agreed in writing. Cancellations made after the free cancellation window, and no-shows where the Rider does not appear at the agreed pickup time and place, may be non-refundable or subject to a fee under the Operator's terms, and airport, event, waiting-time, and custom or multi-vehicle bookings may have stricter rules. Some promotional, discounted, or bespoke bookings may be labeled non-refundable or partially refundable at the time of booking, as disclosed by the Operator before the Rider confirms. To change a pickup time, location, or vehicle, the Rider should contact the Operator as early as possible, and a significant change may be treated as a cancellation and rebooking that affects free cancellation eligibility. If an Operator cancels a confirmed booking, the Rider is entitled to a full refund of any amount prepaid for that booking, and Limodia can help find an alternative Operator but does not guarantee availability or price. 12D. Marketplace Commission and Booking Attribution (Operators). This section applies to Operators and is separate from, and in addition to, the Operator software subscription. Two different and non-overlapping fee models apply depending on how a booking originates. (a) Operator-sourced bookings. For bookings that an Operator sources itself and processes through Limodia software (for example, from the Operator's own website, quote flow, phone, or existing customers), Limodia charges no ride commission; these bookings are covered by the Operator's software subscription and the applicable flat per-reservation fee disclosed at checkout, and the Operator keeps its ride revenue net only of third-party card-processing fees charged by the payment processor. (b) Marketplace-sourced bookings. For bookings that reach an Operator through the Limodia marketplace, Limodia charges a marketplace commission, calculated as a percentage of the booking value, in addition to any third-party card-processing fees, because Limodia sourced or facilitated the customer. The current marketplace commission rates are fifteen percent (15%) of the booking value for a booking from a customer that Limodia sourced or that is otherwise attributed to the marketplace, and a reduced rate of three and one-half percent (3.5%) for a booking from a new customer that the Operator itself brings into the marketplace using an Operator referral link or code issued by Limodia, where that customer was not previously known to or sourced by the marketplace. Limodia determines attribution in good faith based on how the customer and booking entered the marketplace, including first-contact signals tied to the customer's identity such as email address. Once a customer is attributed to the marketplace, that customer remains a marketplace-sourced customer, and subsequent bookings by that customer, including repeat bookings with the same Operator, are charged at the marketplace-sourced rate. A reduced referral rate applies only where the referral link or code matches the Operator actually booked and all applicable conditions are met; Limodia may withhold, adjust, or reverse a reduced rate for any booking that circumvents these Terms, re-routes a customer the marketplace already sourced, or is otherwise misattributed. The applicable commission rate is determined when the booking is confirmed and recorded on that booking; Limodia may change marketplace commission rates, referral eligibility, and attribution rules prospectively by updating these Terms or the Operator's plan materials, and continued participation in the marketplace after the effective date constitutes acceptance. Marketplace commission is deducted from or invoiced against the booking's proceeds through the applicable payout or settlement mechanism and is separate from the Operator's software subscription, per-reservation fees, and third-party processing fees. Nothing in this section makes Limodia a carrier, merchant of record, or payment processor, as described in Sections 3 and 7.

13. Support, Maintenance, and Changes. Limodia may provide onboarding, implementation, migration support, and support services as described in plan terms or Order Form. Unless separately agreed in writing, no specific uptime, response, or resolution commitment is guaranteed. Limodia may update, modify, suspend, or discontinue features and may perform routine or emergency maintenance affecting availability.

14. Confidentiality. Each party will use the other party confidential information only as needed for Terms performance, protect it with at least reasonable care, and disclose only to people who need to know under protective confidentiality obligations. Confidential information excludes publicly available information, previously known information, independently developed information, and lawfully received third-party information. Required legal disclosure is permitted with notice where legally allowed.

15. Intellectual Property. Limodia and licensors retain all rights in Services, Documentation, software, APIs, interfaces, and related intellectual property. No rights are granted except those expressly stated. Customer retains ownership of Customer Data and customer-owned marks and materials, subject to limited rights needed for Service performance. Limodia may use feedback without restriction or compensation.

16. Security and Incident Handling. Limodia maintains reasonable safeguards to protect Customer Data. Customer acknowledges no system is perfectly secure and Customer security practices are also required. Limodia will notify Customer without undue delay of confirmed incidents materially affecting Customer Data as required by law or DPA. Limodia may take immediate protective measures, including feature restrictions or account suspension, to contain threats.

17. Term, Suspension, and Termination. Terms begin on earliest of acceptance, Order Form execution, or first Service use, and continue until terminated. Paid terms follow plan or Order Form and may auto-renew. Limodia may suspend immediately for non-payment, material breach, legal/regulatory requirements, fraud/security risk, or threats to platform integrity. Either party may terminate for uncured material breach after 30 days notice unless immediate action is required. Limodia may terminate immediately for fraud, unlawful conduct, repeated abuse, unlawful messaging, sanctions risk, or willful data misuse. On termination, access ends, accrued obligations survive, and Customer Data may be deleted after applicable retrieval period and legal retention constraints.

18. Warranties and Disclaimers. Each party warrants authority to enter Terms. Except as expressly stated, Services are provided as is and as available. To maximum extent permitted by law, Limodia disclaims all express, implied, statutory, and other warranties, including merchantability, fitness for particular purpose, non-infringement, availability, and error-free operation. Limodia does not warrant that Services make Customer legally compliant.

19. Limitation of Liability. To maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, goodwill, data, or interruption. Limodia aggregate liability for claims relating to Terms or Services is limited to amounts paid or payable by Customer in the 12 months before the event giving rise to claim. Limits do not apply to Customer fee payment obligations, Customer indemnification obligations, misuse of Services, violations of law, fraud, willful misconduct, or liabilities that cannot be limited by law.

20. Indemnification. Customer will defend, indemnify, and hold harmless Limodia and affiliates from third-party claims arising from Customer Data, operations, transportation services, personnel, messaging practices, compliance failures, unlawful use, pricing/refund/tax practices, or related injury, privacy, labor, discrimination, harassment, and consumer claims. Limodia will defend Customer against qualifying third-party claims that Services directly infringe valid U.S. intellectual property rights, subject to notice, control, and cooperation requirements, and subject to customary exclusions including Customer modifications, unauthorized combinations, non-compliant use, and continued use after non-infringing alternatives are provided.

21. Governing Law and Disputes. These Terms are governed by the laws of the State of New Jersey, excluding conflict-of-law rules. State and federal courts located in Essex County, New Jersey have exclusive jurisdiction for disputes, and parties consent to jurisdiction and venue there. Limodia may seek injunctive or equitable relief in any jurisdiction to protect intellectual property, confidential information, or security interests.

22. Miscellaneous. Customer may not assign Terms without Limodia prior written consent except in permitted corporate transactions with assumption obligations. Limodia may assign to affiliates or in corporate transactions. These Terms, together with applicable Order Forms and addenda, form the entire agreement on subject matter. If a provision is unenforceable, remaining provisions continue. Failure to enforce is not waiver. If multiple language versions exist, English controls in case of conflict. Notices to Limodia: info@limodia.com. Notices to Customer may be sent to primary email or billing contact on file.
